A lien waiver and release is the document a contractor, subcontractor, or supplier signs to give up lien rights, ordinarily in exchange for payment. States sort into rough camps. Statutory-form states — California, Texas, Wyoming , Mississippi — wrote the document itself into the code. Nebraska made the advance waiver expressly enforceable. North Dakota regulates the subject in a single sentence written as the owner's defense. Delaware sits at the other end of that range, alongside Kansas and Montana , and it is blunter than either. Chapter 27 of title 25 has a section captioned Waiver of lien , and its second subsection says this: Three details earn their keep. The prohibition reaches an agreement or understanding , not only a signed contract, which forecloses the argument that a side letter or a course of dealing got to the same place. It voids a waiver of the right to enforce as well as the right to file, so a clause leaving the lien nominally alive while surrendering the remedy fails too. And the notwithstanding clause disposes of the choice-of-law workaround — the usual escape hatch when a national general contractor papers a Delaware job on an out-of-state form.
The Exception Is About Sequence, and Nothing Else
The same subsection that voids the advance waiver goes on to preserve the ordinary draw-cycle waiver: Every word of that is about timing. It requires no particular form, caption, or language. It asks one question: had payment been made to that party at or before the moment the waiver was executed and delivered? So the discipline Delaware rewards is documentary rather than editorial. Date the waiver , tie it to the specific payment by amount and check or wire reference , and keep the deposit record proving the money arrived first or alongside. A waiver with a clean date and no payment record is the one that gets litigated.
What Delaware Regulates, and What It Leaves to the Form
Rows five and six are the gap a Delaware claimant still has to close on its own. The statute protects when a waiver may be demanded and says nothing about what it releases . There is no statutory default scope and no ambiguity rule, so a general release signed at a March draw reaches whatever its own language supports. Section 2706 Gives the Ground Back on Residential Work
The anti-waiver subsection closes with a sentence that is easy to skim: nothing in this subsection shall amend, exempt, limit or qualify the provisions of § 2707 of this title. Section 2707 is a complete defense reached without any waiver at all. The statute conditions the defense on paperwork the contractor owes. Prior to or simultaneous with full or final payment, the contractor must give the owner either a notarized, verified certification that it has paid in full for all labor and materials to date, or a written release signed by everyone who would otherwise be entitled to a lien, carrying the contractor's notarized certification that those signatures are all of them. Failing to do so is cause for immediate suspension, revocation or cancellation of the contractor's occupational and business licenses. Where full payment in good faith was not made, the lien survives only to the extent of the balance due the contractor, payable pro rata among claimants who perfect. And payments the owner makes after service of process under § 2715 are not deemed to be in good faith — which is exactly why an early filing changes an owner's behavior on a Delaware residential job.

Delaware Voids Four More Clauses Outside the Lien Chapter

Frequently Asked Questions
Can lien rights be waived in advance in Delaware?
No, and Delaware says so in unusually strong language. 25 Del. C. § 2706(b) provides that notwithstanding the provisions of any other law, any contract, any agreement or understanding whereby the right to file or enforce any lien created under this chapter is waived, shall be void as against public policy and wholly unenforceable. Three things about that sentence are worth noticing. It reaches an understanding, not only a signed contract. It voids a waiver of the right to enforce as well as the right to file. And the notwithstanding clause means a choice-of-law or contract provision pointing somewhere else does not rescue the waiver. A no-lien clause buried in a Delaware subcontract is unenforceable on its face.
When is a Delaware lien waiver enforceable?
In two situations, both written into § 2706(b) itself. First, the section does not preclude a requirement for a written waiver of the right to file a mechanics' lien executed and delivered by a contractor, subcontractor, material supplier or laborer simultaneously with or after payment for the labor performed or the materials supplied has been made to that party. Second, the section is not applicable to a written agreement to subordinate, release or satisfy all or part of a lien made after a statement of claim has been filed under the chapter. Everything hinges on sequence. A waiver signed at or after the money changes hands is enforceable; the same document signed before it is void.
Is there a required lien waiver form in Delaware?
No. Delaware prescribes no statutory waiver template, no required caption, no conditional and unconditional categories, and no notarization or recording requirement for an ordinary progress waiver. Chapter 27 regulates when a waiver may be demanded, not what it must say. That leaves the scope of the release entirely to the drafting, which on a construction project is almost always done by the party upstream. Delaware protects the timing of the waiver and then leaves its content to contract law, so a claimant who wins the timing argument can still lose the scope argument.
Does taking a note or extending credit waive a Delaware mechanics lien?
Not by itself. 25 Del. C. § 2706(a) provides that persons entitled to avail themselves of the lien shall not be considered as waiving the same by granting a credit or receiving notes or other securities, unless the same be received as payment or the lien expressly waived, but the sole effect thereof shall be to prevent such persons from availing themselves of the liens until the expiration of the time agreed upon. Two traps hide in that sentence. Paper taken as payment does waive the lien, and an express waiver still works. And even a proper credit extension only postpones the remedy until the agreed time expires, which can collide with the fixed filing deadlines in § 2711.
Can a Delaware homeowner defeat a lien by paying the contractor?
Yes, on a property used solely as the owner's residence, and § 2706 expressly preserves that result. 25 Del. C. § 2707 provides that no lien shall be obtained upon the lands or structure of any owner which is used solely as a residence of that owner when the owner has made either full or final payment to the contractor, in good faith. The contractor must supply the paperwork that triggers it: prior to or simultaneous with full or final payment, either a notarized verified certification that the contractor has paid in full for all labor and materials to date, or a written release signed by everyone who would otherwise be entitled to a lien, with the contractor's notarized certification that those signatures are all of them. Where full payment in good faith was not made, the lien is limited to the balance due the contractor, pro rata among claimants.
When must a Delaware statement of claim be filed?
It depends on the claimant's position in the chain, and both deadlines come from 25 Del. C. § 2711. A contractor who made the contract directly with the owner or reputed owner and furnished both labor and material, or provided construction management services in connection with that labor and material, files within 180 days after completion of the structure. All other persons file within 120 days from completion of the labor performed or from the last delivery of materials furnished by them respectively. The statute then supplies alternative trigger dates that also make a filing timely, including the date 90 percent of the contract price is received, the date the final invoice is submitted, and the date a certificate of occupancy issues.
